The Articles of Association is the document that defines the essential characteristics of the company and dictates the main rules of its organisation and functioning.
The Articles of Association define the management and control model adopted and lay down the fundamental guidelines for the composition and division of powers of the corporate bodies, as well as the relationships between them. Integrating the provisions of the law, the Articles of Association establish the criteria and methods for identifying the persons who at the highest level contribute, for various reasons, to the management and control of the company.
The Articles of Association also describe the rights due to the shareholders, the related procedures for exercising them and may be amended by resolution of the Extraordinary Shareholders' Meeting. The Extraordinary Shareholders' Meeting of 15 April 2011 approved the text of the Articles of Association in force to date.
